Terms of Service

These terms of service govern the relationship between Square 1 (Pty) Ltd ("SQR1", "we", "us") and you, our client ("you"). They are written in plain English and apply to all work we do for you, alongside any specific quote or agreement we sign.

1. Acceptance of terms

By accepting a quote, paying a deposit or instructing us to begin work, you agree to these terms. If anything here conflicts with a signed project agreement, the signed agreement takes priority.

2. Our services

We provide digital services including websites and funnels, web and mobile applications, online stores, CRM systems, AI chatbots, automations, email marketing, booking systems, design and branding, and domains and hosting. The specific services for your project are set out in your quote.

3. Quotes and fixed pricing

After an initial consultation, we provide a written proposal setting out the scope and the price for that work. The price is valid for the work described and remains fixed unless the scope changes (see clause 5). Proposals are valid for 30 days unless stated otherwise.

4. Payment terms

Unless your quote states otherwise, payment is structured as 50% to start the project and 50% on delivery. Work begins once the initial payment is received. Final deliverables and the transfer of intellectual property take effect once final payment has been made. Recurring costs such as hosting or domains, where applicable, are billed separately and disclosed up front.

5. Project scope and changes

We deliver the scope described in your quote. If you request changes or additions beyond that scope, we will discuss them with you and, where they affect the price or timeline, provide a revised quote before proceeding. This keeps the fixed price honest and protects you from surprise costs.

6. Intellectual property and full IP transfer

On receipt of final payment, we transfer full intellectual property in the deliverables we create for you to you. This means the website, code, designs and automations are yours to own and use without lock-in. This transfer excludes third-party components, open-source software and any pre-existing tools or frameworks, which remain subject to their own licences.

7. Client responsibilities

To deliver on time, we need your cooperation. You agree to provide the content, materials, access and approvals we reasonably need, in good time. You confirm that any content you supply is yours to use and does not infringe anyone else's rights. Delays in providing materials or approvals may affect the timeline.

8. Third-party services

Your project may rely on third-party services such as hosting, payment gateways, email platforms or AI providers. These are governed by their own terms, and we are not responsible for their availability, performance or pricing changes. We will always advise you of any such dependencies.

9. Warranties and limitation of liability

We take pride in our work and warrant that we will perform our services with reasonable skill and care. Beyond this, our services are provided "as is". To the maximum extent permitted by law, our total liability arising from any project is limited to the fees you paid us for that project. We are not liable for indirect or consequential losses, such as lost profits or data.

10. Confidentiality

We treat the information you share with us as confidential and will not disclose it except as needed to deliver your project or as required by law. We expect the same from you regarding any of our confidential information.

11. Termination

Either party may end a project by written notice if the other materially breaches these terms and does not remedy the breach within a reasonable time. If a project ends early, you remain responsible for paying for work completed up to that point, and IP transfers only for work that has been paid for in full.

12. Governing law

These terms are governed by the laws of the Republic of South Africa, and any disputes are subject to the jurisdiction of the South African courts.
